On January 8, 2016, Pinnacle Foods Inc. announced that it has extended its tender offer to purchase all outstanding shares of Boulder Brands, Inc. (BDBD) (“Boulder”) for $11.00 per share in cash. All terms and conditions of the tender offer, other than the expiration date, remain the same.

Its Board of Directors has declared a quarterly cash dividend of $0.255 per share, payable on January 8, 2016 to all common stockholders of record at the close of business on December 21, 2015.

Net sales in the third quarter of 2015 increased 2.0% to $636.3 million, compared to net sales of $624.0 million in the year-ago period. Net earnings declined to $48.1 million, compared with net earnings of $136.0 million in the year-ago period.
